One Central Tower

United Power of Asia Public Company Limited invest in 338,400 ordinary shares in One Central Tower Company Limited (the “One Central Tower”), a limited company incorporated under the laws of Kingdom of Cambodia, having main objectives to operate real estate development business. After the completion of this transaction (the “Completion”) the Company will hold 338,400 ordinary shares or totaling 33.84 percent of the total sold shares in the One Central Tower. One Central Tower owns the land situated at National Road 1, Niroth Commune, Chbar Ompov, Phnom Penh, the Kingdom of Cambodia, on the title deed no. 12100404-0070, Koh Norea, Nirouth, Chbar Ampov, Phnom Penh, in a total area of 24,179 square metres, which has potential to be further developed into real estate projects (e.g. commercial, office, and residential projects). It is 2.5 kilometres away from the center of Phnom Penh business district and on the opposite side of the Bassac River, an area considered to be the new development zone in Phnom Penh. The investment in One Central Tower provides an opportunity for the Company to invest in overseas real estate business, which is a new market opening for the Company in Cambodia. Such market has a potential for business growth and Cambodia is one of the countries with the highest economic growth rate in South East Asia region. It also provides an opportunity for the Company to invest in other categories of project in Cambodia (e.g. power and infrastructure projects) that is in line with the strategic plan of the business operation of the Company’s group. At present, the Company’s existing investments are in Thailand, Myanmar, Lao, Vietnam, and in Cambodia by this investment.
